We advise Agro-Sieć Maszyny on the acquisition of a business unit from Fricke Maszyny Rolnicze sp. z o.o. (part of the Fricke Group).

We are advising Agro-Sieć Maszyny on the acquisition of an organized part of the enterprise of Fricke Maszyny Rolnicze sp. z o.o. (part of the Fricke Group) related to the sale and after-sales service of John Deere agricultural machinery. The closing of the transaction is planned for 2 January 2026, following the approval of the President of the Office of Competition and Consumer Protection (UOKiK).

Agro-Sieć Maszyny sp. z o.o., part of the Agro-Sieć Group, is a Polish family-owned company with over 30 years of experience in the domestic agricultural market. The company currently operates through a network of 12 branches and specializes in agricultural equipment, spare parts, precision farming technology, and customer-focused services.

Fricke Maszyny Rolnicze sp. z o.o., a member of the Fricke Group based in Heeslingen, Lower Saxony (Germany), is a diversified, internationally active family enterprise with over 100 years of history. The Fricke Group operates in the areas of agricultural machinery, commercial vehicles, and spare parts, with seven main business divisions, operations in 28 countries, 107 locations, and more than 3,800 employees.

Our team’s scope of work includes comprehensive legal support, covering due diligence, transaction structuring, advice on negotiating transactional documentation, and assistance throughout the signing process.

The project is led by Marita Pełszyk (Senior Associate) and Alicja Frankiewicz (Junior Associate) under the supervision of Leszek Małecki (Partner). The tax aspects are handled by Bartłomiej Biały (Partner), Wojciech Niedźwiedzki (Partner), and Konrad Zając (Associate).

In competition law matters, we are working closely with Modzelewska Paśnik (Piotr Paśnik and Aneta Sakowicz).
